We recently advised a large GP Practice facing serious problems as a result of the retirement of GPs and an inability to recruit new GPs arising from the chronic shortage of newly or recently qualified GPs. The fact that the Partnership owned its premises was a potentially significant barrier to new entrants who would have to borrow substantial sums to join the partnership. We advised the Practice on its rights and obligations to the NHS, and assisted the Practice in successfully negotiating a solution with the Health Board in terms of which its premises were sold to the Health Board and leased back.  The Practice was able to stabilise and continue in operation.

We advised a Dental Partnership operating a number of Dental Surgeries throughout Scotland on the sale of their business to a venture capital funded business expanding its portfolio of Dental Practices in Scotland.  We advised the Practice both on the corporate and commercial legal issues in respect of the sale, the dental regulatory issues affecting it and the terms of their continued employment by the purchaser.

We advised a large care home operator on

  • A refinancing of all thier banking
  • An acquisition of a new care home

In both cases we had to be very aware of the concerns of the funders in respect of the regulatory and Care Inspectorate background and our knowledge and expertise enabled the deals to proceed quickly and efficiently.

We recently advised a large GP Practice facing withdrawal of a key contract awarded by the local NHS body. The contract was a fundamental part of the practice’s funding model, and its loss would have destabilised the whole practice. The NHS body hadn’t understood the contract properly: we were able to support the practice in ensuring the contract remained in place, and putting its relationship with this key stakeholder back on an even keel.
